A Comparative Study of Germany and China': This book examines the principle of mandatory articles of association in German and Chinese stock corporation law, with particular attention to the 2023 reform of the Chinese Company Law. It develops for the first time the concept of a 'Chinese-style principle of mandatory articles of association' and demonstrates the existence of a Chinese form of this principle. The study further proposes reforms to relax this principle for non-public stock corporations.
