Klappentext
Since the first edition was published 20 years ago, this large-scale commentary on the German Limited Liability Companies Act (GmbHG) has established itself as an indispensable standard work in corporate law. Written by renowned experts from academia and practice, the work combines rigorous scholarly standards with strong practical relevance. It provides a comprehensive and in-depth treatment of GmbH law-from its fundamental principles to complex individual issues. The commentary is thus a reliable companion for anyone dealing with demanding legal questions in GmbH law and a work that no legal library should be without.
This fourth edition has been completely revised. There are also once again some changes among the contributors: Jörg Paura has left the circle of authors at his own request; § 33 is now commented on by Mathias Habersack. Carsten Schäfer is now solely responsible for the commentary on Sections 45 to 51b GmbHG; following the death of Thomas Raiser, this also applies to the commentary on the law of resolutions defects in the appendix to Section 47. Kai Wallisch has been recruited as a co-author for the commentary on Sections 35 to 44.
The commentary is published in three volumes and is available only as a complete set.
Volume 1 was published in 2024. Volume 3 is expected to be published in 2027.
